The following terms and conditions govern the use of
the VIPO.com Web site and online investing accounts with Vipo Securities. ("Vipo" or "we"). By using
your online investing account, you agree to the following:
You acknowledge, represent and warrant that you have received a password
which provides access to your account and that you are the sole and exclusive
owner, jointly and severally, and are the only authorized user(s) of such
password and accept sole responsibility for use, confidentiality, and
protection of the password as well as for all orders and information changes
(for example, change of email address) entered into your account using
such password.
You accept full responsibility for the monitoring and
safeguarding of your accounts. You will immediately notify Vipo in
writing, delivered via e-mail and certified/return receipt requested U.S.
Mail, if you become aware of any loss, theft, or unauthorized use of your
password and account number; or any failure by you to receive a message
from us.
We will assume no responsibility or liability if you
fail to immediately notify Vipo of any of these conditions.
Communications may be sent to you at your postal or electronic mail address
or at such other address as you may hereafter give to us in writing or
enter on the Web site. All communications so sent, whether by mail, email,
telegraph, messenger, or otherwise, shall be deemed delivered and received,
whether actually received or not.

(collectively "Information") accessible through this site are prepared

We at Vipo Securities know that privacy is
important to you. We recognize that our clients are our most important asset, and we protect
the information you entrust to us. You have many choices of financial services firms, and our
commitment to excellent service is why you choose to maintain a relationship with us.
When you browse the public areas of our website, you remain anonymous.
We do not keep track of your email address or other personal information. We do maintain
standard website traffic logs that record what Web pages are visited, where our visitors arrive
from, and so on. This information is only used statistically, and only to improve your
experience at VIPO.com.

to our clients. In order to become a client, you must voluntarily give us information about

The services you access by computer provide you with
the capability to send electronic communications, such as email, directly
to Vipo and to interact directly with the applicable division that
handles the services you require. You agree to provide Vipo with your
email address, promptly provide Vipo with any changes to your email

address you specify. Any change of address is expected to be effective
3 days after receipt by Vipo.

Our Business Continuity Plan
Various unusual events may disrupt our business, and we have developed a business
continuity plan to address the possibility of significant business disruption. In accordance with our plan, we attempt to protect our paper and electronic data through redundant storage techniques
backed up locally and remotely.
The mildest disruptive events that we foresee is a loss of some communication to our office, such as a telephone line failure. Slightly more severe is a shutdown of our office from, for example, a
power failure or building evacuation. In either of these events, we encourage or customers to attempt several forms of

A long-term loss of our office or a city-wide disruption of substantial duration
might require us to relocate our office. In these cases, we expect to carry on business from a temporary office while
establishing a new office. Any new office location would be identified on our website and known to our personnel.
Since our personnel are located entirely within the western United States, a regional
disruption might affect all personnel, in which case we would likely cease business for some period of time. After a brief
or mild event, such as region-wide severe weather, we would continue business at the same location. After a more serious
or extended event, we would assess our ability to continue operations at all. We might need to establish a new office,
possibly recovering data from backup, in which case we would inform our customers and vendors and post new information
on our website. Alternatively, after a serious enough disruption, we might commence regulatory action to cease business entirely.
The scenarios contemplated here are for illustration only, and our actual response in case
of a business disruption will depend on the specific nature of the event. We cannot foresee or plan for all possible disruptive
events, and the very nature of an emergency may prevent us from communicating our actual plans or remedies in a timely manner.
